Educational Qualification
- Mandatory:
- UG/PG in a regular stream from a recognized university.
- Qualified ACS (Associate Member of Institute of Company Secretaries of India).
- Membership with ICSI in good standing.
Age Limit
- Minimum: 40 years
- Maximum: 50 years (as on 31.07.2025)
Experience Required
- Minimum 4 years in banking or listed company as Company Secretary.
- Experience in secretarial operations, corporate compliance and handling board/committee meetings.
- Preference for candidates who have worked in secretarial section of Banks, large NBFCs, or Financial Institutions.
- No vigilance case/adverse observation from RBI/statutory authority pending.
Key Roles & Responsibilities
- Act as Compliance Officer for SEBI purposes.
- Organize Board and Committee meetings, regulatory training for board/senior management.
- Conduct AGMs, prepare/circulate AGM notices & annual reports.
- Manage analyst/investor meetings & related communications.
- Ensure SEBI compliance including Reconciliation of Share Capital Audit.
- Coordinate with Registrar & Share Transfer Agent (RTA) for investor services.
- Handle dividend processing, IEPF transfers, MOA/AOA updates, corporate records.
- Maintain personal files of executives, policy updates, and annual report preparation.
- Ensure compliance with company law updates and other related secretarial work.
